Determine how non liquidating distributions will be addressed

This is due to the T 3 system of settlement financial markets presently use in North America. For a regular dividend the declaration date or announcement date is when a company's board of directors announces a distribution.Creditors are always senior to shareholders in receiving the corporation's assets upon winding up.However, in case all debts to creditors have been fully satisfied, there is a surplus left to divide among equity-holders.Each of these parties has a priority in the order of claims to company assets.

A liquidating dividend is a type of payment that a corporation makes to its shareholders during a partial or full liquidation. For the most part, this form of distribution is made from the company's capital base.As a return of capital, this distribution is typically not taxable for shareholders.Upon the sale of the stock, the resultant gain or loss will be calculated from the adjusted basis.Nontaxable distributions are generally reported in box 3 of the Form 1099-DIV.

The last outstanding business check was paid very recently (to my accountant) and I'm about to distribute the remaining cash to shareholders and close the bank account.
